Terms of Service

By accessing or using HELM Fleet Command ("HELM", "the Platform", "the Service") at app.helm-command.com, you ("User", "you", "Subscriber") agree to be bound by these Terms of Service ("Terms") and all policies incorporated herein by reference, including our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, Cookie Policy, and Disclaimer. If you do not agree to these Terms in their entirety, you must not access or use the Platform. These Terms constitute a binding legal agreement between you and SYG Yachts LLC, a Florida limited liability company ("Company", "we", "us", "our"), operating helm-command.com and app.helm-command.com.

HELM Fleet Command is a cloud-based Software-as-a-Service (SaaS) platform providing maritime operations management tools for superyachts, vessels, fleet operators, captains, crew, and management companies. The Platform includes modules for compliance management, maintenance scheduling, crew management, charter operations, financial oversight, regulatory logbooks, AI-powered operational tools, and related features as described at helm-command.com. The Platform is provided as a management and operational support tool only. It does not constitute professional maritime, legal, financial, safety, or regulatory advice. 3.1 Plans. The Platform is offered on a subscription basis across four plans: Captain (€199/month), Owner (€499/month), Management (€1,499/month), and Management Pro (€2,499/month). Plan details, features, and vessel/crew limits are as described on our Pricing page. We reserve the right to modify plan features with 30 days written notice. 3.2 Payment. All subscriptions are billed monthly in advance in EUR. Payment is processed via Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis until cancellation. All fees are exclusive of applicable taxes, which are your responsibility. 3.3 Early Access Rate Lock. Subscribers who joined HELM during the pre-launch early access period have their subscription rate locked at the rate applicable at the time of their first payment for a period of 12 months from their subscription start date. After 12 months, new pricing applies with 30 days written notice. 3.4 Cancellation. You may cancel your subscription at any time from your account settings or by emailing hello@helm-command.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months except where required by applicable law. 3.5 Non-payment. If payment fails, we will attempt to retry payment for 7 days. If payment remains outstanding after 7 days, we reserve the right to suspend or terminate your account. Outstanding balances are due immediately upon account termination. 3.6 Price changes. We may change subscription prices at any time with 30 days written notice via email to your registered address. Continued use of the Platform after the notice period constitutes acceptance of the new pricing.

You agree to use the Platform only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You must not use the Platform: (a) in any way that violates applicable local, national, or international law or regulation; (b) to transmit any unsolicited or unauthorised advertising or promotional material; (c) to impersonate or misrepresent your identity or affiliation; (d) to attempt to gain unauthorised access to any part of the Platform; (e) to interfere with or disrupt the integrity or performance of the Platform; (f) to use any AI features of the Platform to generate content that is false, misleading, or intended to deceive regulators or maritime authorities.

5.1 Platform IP. The Platform, including all software, AI models, modules, interfaces, documentation, brand assets, and content, is owned by SYG Yachts LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal vessel or fleet management purposes during your active subscription. 5.2 Your Data. You retain ownership of all data you input into the Platform ("Your Data"). By using the Platform, you grant us a limited, non-exclusive licence to process, store, and transmit Your Data solely as necessary to provide the Service. We do not sell Your Data to third parties. 5.3 Feedback. Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without restriction or compensation to you.

The Platform includes AI-powered features including HELM Copilot, AI Engine Diagnostics, AI Passage Planner, AI Budget Forecasting, AI Incident Report Writer, AI Charter Briefing, and AI Predictive Maintenance (collectively "AI Features"), powered by Claude Sonnet 4.5 by Anthropic. AI Features are provided as decision-support tools only. All AI outputs are advisory in nature and must be reviewed and verified by qualified maritime professionals before being acted upon. AI outputs do not constitute professional maritime advice, safety guidance, regulatory compliance confirmation, or legal advice. We expressly disclaim all liability for any action taken or not taken in reliance on any AI Feature output. See our Disclaimer for full details of AI limitations.

The Man Overboard (MOB) Protocol feature is provided as an operational support tool to assist in coordinating crew response in a MOB event. This feature: (a) depends on device connectivity and power, which may be unavailable in an emergency; (b) is not a substitute for proper MOB equipment, training, and procedures; (c) does not transmit distress signals or alert maritime rescue services automatically; (d) does not guarantee the safe recovery of any person in the water. The Master of the vessel remains solely responsible for all emergency response decisions. We expressly disclaim all liability for any outcomes in MOB situations.

HELM's regulatory logbooks (ORB, OLB, GMDSS Radio Log) and compliance modules are provided as operational tools to assist users in documenting vessel operations. They do not guarantee regulatory compliance and do not constitute legal or regulatory advice. The Master, owner, and operator of each vessel remain solely responsible for ensuring compliance with all applicable maritime laws, flag state requirements, and port state control regulations. HELM does not warrant that the format or content of any logbook export will satisfy any particular authority's requirements. Users should verify all exports with their flag state administrator and maritime legal counsel.

9.1 Data Security. We implement industry-standard security measures to protect User Data, including TLS/SSL encryption in transit and AES-256 encryption at rest. See our Privacy Policy for full details. 9.2 Confidentiality. We will not disclose User Data to third parties except as necessary to provide the Service, comply with legal obligations, or with your express consent. All employees and contractors with access to User Data are bound by confidentiality obligations. 9.3 Backup and Retention. We perform regular automated backups of Platform data. In the event of account termination, we retain User Data for 90 days to allow for export, after which it is permanently deleted unless legally required to retain it longer.

The Platform integrates with certain third-party services (e.g., Stripe for payment processing, cloud infrastructure providers, weather data providers). Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the availability, performance, or practices of third-party services, though we select providers with strong security and compliance track records. Third-party service providers are bound by data processing agreements where they process User Data on our behalf.

11.1 Disclaimer. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. 11.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYG YACHTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. Our total liability to you for any claims arising from these Terms or the Platform shall not exceed the total amount you paid us in the 12 months preceding the claim. 11.3 Exceptions. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

You agree to indemnify, defend, and hold harmless SYG Yachts LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your access to or use of the Platform; (b) your User Data or any content you submit; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including intellectual property or privacy rights.

13.1 By You. You may terminate your account at any time by cancelling your subscription or contacting hello@helm-command.com. Upon termination, your access to the Platform will cease at the end of the current billing period. 13.2 By Us. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or use the Platform in a manner that poses legal or security risks. We may also terminate accounts that remain inactive for more than 12 months. 13.3 Effect of Termination. Upon termination, all licences granted to you under these Terms will cease. You may export your User Data prior to termination. Sections 5, 11, 12, and 14 shall survive termination.

14.1 Entire agreement. These Terms, together with our Privacy Policy, DPA, AUP, Cookie Policy, and Disclaimer, constitute the entire agreement between you and us regarding the Platform. 14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. 14.3 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. 14.4 Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. 14.5 Changes. We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. 14.6 Contact.
